Cynopic provides an AI-powered iMessage business messaging platform that enables businesses to communicate with their customers through Apple's iMessage. Our Services include AI-driven conversation management, message automation, analytics, and related tools designed to enhance business-to-customer communication.

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

4. Acceptable Use

6. Payment Terms

Certain features of our Services require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide valid and current payment information
• Accept that subscriptions renew automatically unless cancelled
• Cancel your subscription at least 24 hours before the next billing cycle to avoid charges

All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice.

7. Limitation of Liability

To the maximum extent permitted by law, Cynopic and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, including but not limited to:

• Unauthorized access to your transmissions or data

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to Cynopic in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination:

• Your right to use the Services will immediately cease
• You remain responsible for any outstanding fees
• We may delete your account data after a reasonable retention period
• Provisions that by their nature should survive termination will remain in effect

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Delaware.
